Terms of Service
These terms are the contract between you and us. They cover what the service does, what you may and may not do with it, how credits and billing work, who owns the content, and what happens when something goes wrong. We have tried to write them so you can actually read them.

1. The agreement
These Terms of Service (the "Terms") are a binding agreement between you and the operator of Opus Rank ("Opus Rank", "we", "us"). They govern your access to and use of Opus Rank and everything in it (the "Service"). You can reach us at any time at [email protected].
By creating an account, ticking the acceptance box at sign-up, or using the Service, you agree to these Terms, to our Privacy Policy, to our Acceptable Use Policy, and to our Cookie Policy. Each of those is incorporated into this agreement by reference. If you do not agree, do not use the Service.
If you accept these Terms on behalf of a company or other organisation, you represent that you have authority to bind it, and "you" means that organisation.
Section 16 requires most disputes to be resolved by individual arbitration rather than in court, and waives your right to participate in a class action. You may opt out of arbitration within 30 days of first accepting these Terms, and doing so costs you nothing and changes nothing else about your account. Please read that section.
2. Eligibility and your account
You must be at least 18 years old to use the Service. You must not use it if you are barred from doing so under the laws of the United States or of any jurisdiction that applies to you, including applicable sanctions and export-control rules.
You are responsible for your account:
- Give us accurate registration information, and keep your email address current — it is how we reach you about your account, your billing and your generations.
- Keep your password confidential. Do not share your credentials, and do not let anyone else use your account.
- You are responsible for everything that happens under your account, whether or not you authorised it, up to the point you tell us it has been compromised.
- Tell us promptly at [email protected] if you believe your account has been accessed by someone else.
We verify your email address before issuing free credits. Reading, editing and exporting work before you verify; chargeable actions do not. Signing in through Google verifies your address automatically.
3. What the Service does
Opus Rank generates SEO article drafts and related content using third-party artificial intelligence models. Depending on your plan it can also produce content briefs, outlines, keyword clusters, internal-link suggestions, title suggestions and images, apply AI edits to a passage you select, and publish a finished article to a content management system you have connected.
Everything the Service produces is a draft placed in your workspace for review. Nothing is published to your website unless you or a schedule you configured tells it to. We describe the capabilities of each plan on our pricing page, and features marked as not yet available are exactly that — they are not part of what we are agreeing to provide today.
We may change, add to or discontinue features. Where a change materially reduces the functionality of a paid plan you are on, we will give you reasonable notice so that you can decide whether to continue. If you do not want to, our Refund Policy sets out the circumstances in which we will review a refund.
4. Credits
The Service is metered in credits. A full SEO article costs 100 credits and a rewrite costs 60; the current price of every action is shown in the application before you confirm it, along with the balance you will be left with.
How the credit lifecycle works:
- Credits are reserved when work starts, not after. That is what allows several generations to run at once without overspending your balance.
- They are charged only when the work delivers. Every failure path returns the reservation automatically. You are not charged for a generation that failed, including one that failed because an AI provider was unavailable.
- Retries are free. If a generation fails in a way that is worth retrying, the retry costs nothing extra.
- Credits you purchase do not expire. We removed the expiry that used to apply to them, because the lifetime of something you paid cash for should not be a setting.
- Credits included with a plan cover one allowance period and do not roll over. A new allowance is granted at the start of each period you have paid for. Your free welcome grant of 500 credits is issued once, after you verify your email address, and expires on the date shown in the application.
- When a subscription ends, unused plan credits for the period that has ended expire with it. That is the same rule as every other allowance period, applied to the last one; we never remove plan credits before the period you paid for has finished. Credits you purchased separately are not affected and remain in your balance.
- Credits are spent soonest-expiry-first. Purchased credits are not consumed ahead of credits that are about to lapse — that ordering exists to protect you, not us.
Credits have no cash value, are not a stored-value or prepaid instrument, are not transferable between accounts, and cannot be exchanged, sold or redeemed for cash except where the law requires it. They are a unit of account for measuring your use of the Service.
Buying a credit pack adds credits to your workspace. It does not change your plan, does not renew, and does not unlock capability your plan does not include — a free workspace holding purchased credits still cannot publish to a content management system.
5. Plans, billing and cancellation
Payments are processed by Dodo Payments, acting as merchant of record. Your card details go to them and never reach our servers. Current prices are shown at checkout, which is the authoritative source; prices shown elsewhere on the site are for information.
The billing rules:
- Charged in advance. Subscriptions are billed at the start of each period, monthly or annually depending on what you chose, and renew automatically until cancelled. Applicable taxes are added by our payment provider.
- Credits arrive monthly even on an annual plan. An annual subscription is billed once a year; the credits it includes are granted at the start of each month within that year. Paying for a year does not mean receiving a year of credits on day one.
- Upgrades apply immediately. Your new capabilities and allowance take effect as soon as the payment succeeds.
- Downgrades apply at the end of the current period. You paid for that period at the higher tier, and taking the features back before it ends would be selling something and then removing it.
- Cancellation is self-serve. Cancel from the billing portal at any time. Your plan continues to the end of the period you have already paid for, and then reverts to the free plan. There is no cancellation fee, no notice period and nobody to phone.
- Nothing you made is taken away. Ending a subscription does not delete your content. Your articles, versions and exports remain available.
If a payment fails, your plan is not downgraded. You keep your tier and a grace period of 3 days begins, during which everything continues to work but no new credit allowance is granted. If payment still has not succeeded when the grace period ends, chargeable actions — new generations and automatic publishing — are paused until it does. Reading, editing, version history and export continue to work throughout. We will email you before and during this.
Except where these Terms or the law say otherwise, fees are non-refundable and we do not provide refunds or credits for partial periods, unused credits, or periods in which you did not use the Service. Our Refund Policy sets this out in full, including the limited circumstances in which we will review a request and how to send us one. Nothing in this paragraph limits any statutory right you have as a consumer.
We may change our prices. A price change takes effect at your next renewal, and we will give you at least 30 days’ notice by email before it does, so that you can cancel first if you would rather not continue.
6. Refunds, chargebacks and reversals
Where a payment is refunded or reversed, we revoke the unspent remainder of the credits that payment granted. We do not claw back credits you have already spent: those bought articles that exist and that you still have.
- A refund we agree to under our Refund Policy takes back the unspent remainder and does nothing else. Your account is not restricted.
- A payment dispute or chargeback takes back the unspent remainder and additionally restricts the account while the dispute is open. Restriction pauses generation and publishing; it never touches your ability to read, edit, version or export your content.
- If a dispute is resolved in your favour, the restriction is lifted and the revoked credits are reissued.
If you believe you have been charged in error, please contact [email protected] before raising a dispute with your bank. It is faster, and it avoids a restriction neither of us wants.
7. Your content and who owns it
You own your content. As between you and us, you retain all right, title and interest in the briefs, keywords, project details, edits and other material you supply ("Input"), and in the articles, images, outlines and other material the Service produces for you ("Output"). We claim no ownership over any of it.
You grant us a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, modify (only as needed to format or process it), transmit and display your Input and Output — and to transmit it to the AI providers and, where you instruct it, to the publishing platform you connected — solely to provide, maintain and support the Service. The licence exists to run the product and for no other purpose. It ends when you delete the content or close your account, except for copies in routine backups, which age out on their normal cycle.
We do not use your Input or Output to train models, and we do not licence it to anyone for that purpose. We cannot make the same promise on behalf of the AI providers who process your requests — their terms govern that, and our Privacy Policy explains this in the section on what happens when you generate content.
You are responsible for your content: for having the rights to the material you supply, for reviewing what the Service produces, and for whether publishing it is lawful and appropriate where you publish it. You warrant that your Input does not infringe anyone’s rights and does not breach our Acceptable Use Policy.
A note on the ownership of AI output generally: the copyright status of material generated by an AI model is unsettled in the United States and elsewhere, and purely machine-generated material may not attract copyright protection at all. We are assigning you whatever rights we have; we cannot grant rights that no one holds. Your own editorial work on a draft is a different matter and is yours in the ordinary way.
8. Our intellectual property
The Service — including its software, interfaces, design, text, graphics, the Opus Rank name and logo, and all documentation — is owned by us or our licensors and is protected by copyright, trade mark and other laws. Nothing in these Terms transfers any of it to you.
We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service for your internal business purposes, in accordance with these Terms and your plan, for as long as your account is in good standing.
If you send us feedback, suggestions or ideas about the Service, you grant us an unrestricted, perpetual, irrevocable, royalty-free licence to use them without obligation or attribution. This is not a claim on your content; it is so that acting on a good suggestion does not create a liability.
9. Acceptable use
Your use of the Service is governed by our Acceptable Use Policy, which forms part of these Terms. It sets out prohibited content, prohibited conduct, the search-engine-specific abuses this product could be misused for, and what we do about a breach.
We apply rate limits and concurrency limits to protect the availability of the Service and our own costs. Circumventing them, or automating access in a way designed to evade them, is a breach of these Terms.
Breaching the Acceptable Use Policy may lead to a warning, a restriction on chargeable or outbound actions, suspension, or termination, depending on severity. We will tell you the reason.
10. Third-party services
The Service depends on third parties: AI providers reached through OpenRouter, Dodo Payments for billing, and — if you connect one — your own content management system. Your use of those services is subject to their terms, and we are not responsible for their acts or omissions.
When you connect a publishing platform, you authorise us to act on it with the credentials you supply, for the actions you initiate or schedule. You are responsible for what those credentials are permitted to do, and you can disconnect at any time.
The Service may be unavailable or degraded when a provider we depend on is. Credits are not consumed by failures caused by a provider outage.
11. AI-generated output — what we do not promise
Language models produce plausible-sounding errors. Verify every claim, figure, quotation, citation, price and name in a draft before it goes anywhere. Publishing an unreviewed draft is your decision and your responsibility.
Specifically, we do not warrant that Output is:
- Accurate. Generated text may state things that are false, out of date, or invented.
- Original. We do not screen Output against published material, and we do not run plagiarism or duplicate-content detection. If originality matters to you, check it with a tool built for that.
- Non-infringing. We cannot guarantee that Output does not resemble existing work, and generated images in particular can resemble existing images and can contain artefacts.
- Unique to you. Another user giving a similar brief may receive similar Output. Output is not exclusive.
- Compliant. Output may not meet the advertising, financial, medical, legal or other regulatory rules that apply to your industry. Meeting them is your responsibility.
- Effective. We make no representation about search rankings, traffic, conversions or revenue. No one can promise a ranking, and search engines change what they reward.
The Service includes automated quality checks over generated content. These are heuristics, not a factual review: they can miss real problems and can flag correct content, and every finding should be treated as a prompt to look rather than as a verdict. A clean report is not evidence that a draft is accurate.
Where you publish Output, you are the publisher. You are responsible for disclosure obligations that apply to AI-assisted content in your jurisdiction or on your platform.
12. Availability
We aim to keep the Service available and to give notice of planned maintenance where we reasonably can. We do not commit to a specific level of uptime, and no plan includes a service level agreement.
We may suspend access temporarily to carry out maintenance, to address a security issue, or to respond to a provider failure. We will restore access as soon as reasonably practicable.
13. Suspension and termination
You may terminate at any time by cancelling your subscription in the billing portal and, if you wish, asking us to close your account. Cancellation takes effect at the end of the period you have paid for.
We may restrict, suspend or terminate your access where:
- you materially breach these Terms or the Acceptable Use Policy;
- you are a repeat infringer under our DMCA Policy;
- payment fails and remains unresolved after the grace period, in which case chargeable actions pause rather than the account closing;
- we are required to by law, a court order, or a regulator;
- your use poses a security risk to the Service or to other users, or imposes a burden disproportionate to your plan.
Where we suspend an account, we record a written reason and show it to you. Restrictions short of termination limit what an account can spend or send — generating and publishing — and deliberately never limit what it can read, edit, version or export. We will give you notice before terminating for breach, and an opportunity to fix it, unless the breach is severe, unlawful, or repeated.
On termination, your right to use the Service ends. Deleted articles and projects are destroyed 30 days after deletion, and other retention periods are set out in our Privacy Policy. Export your content before you close your account; we will give you a reasonable opportunity to do so where we are the party ending the agreement, unless the law prevents it.
Sections on your content, our intellectual property, disclaimers, limitation of liability, indemnity, dispute resolution and governing law survive termination.
14. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUT ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED OR STATUTORY. WE SPECIFICALLY DISCLAIM THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.
WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT OUTPUT WILL BE ACCURATE, ORIGINAL, NON-INFRINGING OR SUITABLE FOR ANY PARTICULAR USE.
Some jurisdictions do not allow the exclusion of implied warranties, and consumers in the European Union, the United Kingdom and elsewhere have statutory rights that cannot be excluded. Nothing in these Terms removes a right you have by law, and in those jurisdictions the exclusions above apply only to the extent the law permits.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, GOODWILL, BUSINESS, SEARCH ENGINE RANKINGS, TRAFFIC, OR DATA, ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE, WHETHER IN CONTRACT, TORT OR OTHERWISE, AND WHETHER OR NOT THE PARTY WAS ADVISED OF THE POSSIBILITY.
OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (a) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM, AND (b) ONE HUNDRED US DOLLARS.
Nothing in these Terms excludes or limits liability for fraud or fraudulent misrepresentation, for death or personal injury caused by negligence, or for any other liability that cannot lawfully be excluded or limited. These limits apply even if a limited remedy fails of its essential purpose, and they reflect an agreed allocation of risk that is part of the basis of the bargain between us.
16. Indemnity
You will defend, indemnify and hold harmless us, our affiliates and our personnel from and against any third-party claim, and any resulting loss, liability, damage, cost or expense (including reasonable legal fees), arising out of or relating to: your Input; your use or publication of Output; your breach of these Terms or the Acceptable Use Policy; your violation of any law or of a third party’s rights; or your use of a connected publishing platform.
We will notify you promptly of any claim, give you sole control of the defence and settlement (except that you may not settle in a way that admits our liability or imposes an obligation on us without our consent), and cooperate reasonably at your expense.
17. Dispute resolution and arbitration
Start with us. Before commencing any proceeding, please email [email protected] with a description of the dispute and the relief you want. We will try in good faith to resolve it within 60 days. Most disputes end here.
Agreement to arbitrate. If we cannot resolve it, you and we agree that any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules or Commercial Arbitration Rules, as applicable. Arbitration will be conducted in the English language. Judgment on the award may be entered in any court of competent jurisdiction.
Your right to opt out. You may opt out of this arbitration agreement by emailing [email protected] within 30 days of first accepting these Terms, stating your name, the email address on your account, and that you are opting out of arbitration. Opting out affects nothing else: your account, your plan and your price are unchanged, and we will not treat you differently for it.
Class action waiver. You and we agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated or representative proceeding. An arbitrator may not consolidate more than one person’s claims. If this waiver is found unenforceable as to a particular claim, that claim — and only that claim — will proceed in court.
What arbitration does not cover. Either of us may always:
- bring an individual claim in small claims court, if it qualifies;
- seek injunctive or equitable relief in court to stop infringement or misuse of intellectual property or unauthorised access to the Service;
- exercise a right that, in your jurisdiction, cannot lawfully be made subject to arbitration.
Any claim must be brought within one year of the date it arose, or it is permanently barred, unless the law of your jurisdiction provides a period that cannot be shortened by agreement.
Mandatory consumer-protection law in your country of residence may override this section. Where it does, it wins: you keep the right to bring proceedings in your local courts and to rely on the protections of your local law, and nothing here is intended to deprive you of them.
18. Governing law
These Terms and any dispute arising out of them are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
Subject to the arbitration section above, you and we submit to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute not subject to arbitration.
If you are a consumer resident in the European Economic Area, the United Kingdom, or another jurisdiction whose law grants you protections that cannot be varied by agreement, this section does not deprive you of those protections or of the right to bring proceedings in the courts of your place of residence.
19. General terms
- Changes. We may update these Terms. For material changes we will give at least 30 days’ notice by email or in the application before they take effect, and continuing to use the Service after that date means you accept them. If you do not, cancel before the date and the old terms govern your remaining period. The version and date at the top of this page always reflect the current text.
- Entire agreement. These Terms, together with the Privacy Policy, Cookie Policy, Acceptable Use Policy and DMCA Policy, are the entire agreement between us about the Service, and supersede any prior understanding.
- Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign them to an affiliate or in connection with a merger, acquisition or sale of assets, on notice to you.
- Severability. If any provision is held unenforceable, it is modified to the minimum extent necessary or severed, and the rest remains in force.
- No waiver. A failure to enforce a provision is not a waiver of it.
- Force majeure. Neither party is liable for a failure to perform caused by an event beyond its reasonable control, excluding the obligation to pay amounts due.
- No third-party beneficiaries. These Terms create no rights in anyone who is not a party to them.
- Notices. We will send notices to the email address on your account; you should send them to [email protected]. A notice is deemed received on the day it is sent, unless the sender receives a delivery failure.
- Relationship. Nothing here creates a partnership, joint venture, agency or employment relationship.
20. Contact
Legal notices: [email protected]. Account and billing questions: [email protected]. Both are monitored mailboxes and are the correct route for anything under these Terms.
